Your agreement with NodeHub
These terms are an agreement between Side By Tech LLC d/b/a NodeHub, 159 Pleasant Ave, Rochester, NY 14622, United States ("NodeHub", "we") and the organization that uses NodeHub ("you"). By creating a workspace, starting a subscription or using the service, you accept them. Our privacy notice and data processing agreement are part of these terms.
NodeHub is for business use. The person accepting must be at least 18 and have authority to bind the organization. A signed order form or agreement with NodeHub takes precedence over these terms where they differ.
Accounts and workspace access
Keep account details accurate, protect your sign-in, and invite only people allowed to use your workspace. Workspace owners and administrators manage members, roles, brands and connections, and are responsible for what their members do in the workspace.
Tell us at [email protected] right away if you suspect unauthorized access.
Acceptable use
Use NodeHub only lawfully. Do not send spam or unlawful messages, distribute malware, try to access other workspaces or systems without permission, overload or probe the service, get around its limits, or infringe anyone's rights.
Do not put passwords or secrets in messages, prompts or support requests; use connection settings and secrets for credentials. Check automated actions before running them against important records.
Your content
You own the content you put into NodeHub. You give us permission to host, process and transmit it only as needed to provide and secure the service, follow your instructions and meet legal obligations. We do not use your content to train AI models.
You are responsible for having the rights and consents needed for the content you upload and the data you connect. If you send us feedback, we may use it without obligation to you.
Connected services, automation and AI
Services you connect, including AI model providers, have their own terms, charges and limits, and you are responsible for your accounts with them. A NodeHub subscription does not include their fees. Provider changes or outages can make workflows pause or fail.
AI output can be wrong or incomplete. Review it before relying on it or sending it on, and add human approval steps before actions that matter. You are responsible for your instructions, the permissions you grant and how you use the results.
Plans, billing and renewal
Paid plans are bought per workspace by an owner or administrator through Stripe checkout, which shows the price, members and billing period before you confirm. Fees are charged in advance. NodeHub does not collect sales tax today; if that changes, we will tell you before it applies.
Subscriptions renew automatically for the same period until canceled. If a payment fails, we will let you know and paid features keep working for 14 days; if it is not resolved by then, the workspace moves to the Free plan. We will give at least 30 days' notice of a price change, which applies from your next renewal.
Cancellation, refunds and leaving
A workspace owner or administrator cancels in NodeHub under Billing, Manage your subscription. Cancellation takes effect at the end of the current paid period, monthly or annual, and the workspace keeps its paid features until then. Fees already paid are not refunded, and there are no credits for partial periods, except where the law requires otherwise or these terms say so.
After a subscription ends, the workspace moves to the Free plan and keeps its content. We delete a workspace and its content when an owner asks us at [email protected], as described in the privacy notice.
Availability, support and suspension
We work to keep NodeHub available and secure but do not promise uninterrupted service or a specific uptime, and there may be maintenance windows. Support is by email at [email protected] on business days.
We may suspend access to protect the service or other customers, for serious or repeated breach of these terms, or for unpaid fees, and will tell you why unless the law or an urgent security reason prevents it. We may end these terms for material breach that is not fixed within 30 days of notice.
Warranties and liability
Except as stated in these terms, NodeHub is provided "as is" and we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.
Neither party is liable for indirect, incidental, special or consequential damages, or lost profits, revenue or data. Each party's total liability under these terms is limited to the fees you paid NodeHub in the 12 months before the claim. These limits do not apply to your payment obligations, your indemnity below, or liability that cannot be limited by law.
You will defend and indemnify NodeHub against third-party claims arising from your content or your unlawful use of the service.
Other terms
Each party keeps the other's non-public information confidential and uses it only for this agreement. NodeHub owns the service, its software and its brand; these terms give you a right to use the service, not ownership of it.
New York law governs these terms, without regard to conflict-of-law rules, and the state and federal courts in Monroe County, New York have exclusive jurisdiction. We may update these terms with at least 30 days' notice in the product for material changes; continued use after that means you accept them. You may not transfer this agreement without our consent, except with the sale of your business.
